Transfer of Ownership for Server 2008 CALs

I just finished decommissioning a few Windows Server 2008 R2 Standard Boxes that we had been using as Terminal Servers. We had a bunch of Retail Server CALs that we purchased for them. Now that we are no longer using those CALs we would like to sell them and transfer ownership of them to a purchaser. 

Can this be done in compliance with the Server 2008 CAL agreement? I know that you legally can move the Retail CALs once to a different machine if the old license server is decommissioned, but I can't find a clear answer if transferring ownership of the CAL can be part of that "one move"

Also as a follow-up question, after deactivating the licensing servers I did try to install one of the CALs on a different server and it gave me an error saying the CAL had already been activated. I know that I can call MS Clearinghouse and activate it over the phone for me, but would someone purchasing the CALs from us have a problem activating the CALS when we've deactivated them since our company name (not theirs) would be associated with the first activation? 

I'm looking for facts and references to Microsoft links/documents/etc, not opinions/thoughts :) Thanks!
